Terms of Service
This English translation is provided for reference only. The Japanese version is the official text of these Terms; if there is any inconsistency, the Japanese version prevails (Article 19).
PRTL Inc. (株式会社PRTL; the "Company") sets out in these Terms of Service (these "Terms") the conditions for using "meet" (meet.prtl.jp), the meeting-scheduling service provided by the Company (the "Service").
Article 1 (Application)
- These Terms define the conditions of the Service and the rights and obligations between the Company and Hosts, and apply to all matters relating to a Host's use of the Service.
- Use of a booking page by a Guest is subject to these Terms, applied mutatis mutandis to the extent consistent with its nature.
- Individual notices posted by the Company within the Service form part of these Terms.
Article 2 (Definitions)
In these Terms:
- "Host" means a person who registers for the Service with a Google account and opens a booking page.
- "Guest" means a person who books a time through a Host's booking page.
- "Booking Information" means the name, email address, agenda and other information received with a booking.
Article 3 (Registration and Account Management)
- A person who wishes to use the Service shall agree to these Terms and register through Google account authentication. The Company holds no passwords.
- The Host shall manage their Google account at their own responsibility. Except in cases of the Company's intent or gross negligence, the Company is not liable for damage arising from inadequate account management or unauthorized use by a third party.
- The Company may decline a registration where the applicant has previously breached these Terms or where the Company otherwise reasonably determines registration to be inappropriate.
Article 4 (Content of the Service)
- The Service is a scheduling tool that presents a Host's free time, lets a Guest confirm a booking, places the confirmed event on both parties' calendars, and sends confirmation, change and cancellation notices.
- The Service accesses the Host's Google Calendar to read whether times are free or busy in order to determine availability, and to write confirmed bookings. Access is limited to what the scheduling purpose requires. Details are set out in the Company's Privacy Policy.
Article 5 (Fees)
The Service is free of charge except where the Company separately specifies and displays otherwise. If paid plans are introduced, the Company will display their content and fees in advance and obtain the Host's consent.
Article 6 (Prohibited Conduct)
Hosts and Guests must not:
- violate laws, regulations or public order and morals;
- infringe the rights or interests of the Company or any third party;
- register false information or make bookings impersonating another person;
- place excessive load on, or obstruct the operation of, the Service's servers or networks;
- gain unauthorized access, reverse engineer, or otherwise improperly analyze or alter the workings of the Service;
- make bookings for the purpose of harassment or obstruction of business;
- engage in any other conduct the Company reasonably determines to be inappropriate.
Article 7 (Suspension of the Service)
- The Company may suspend or interrupt all or part of the Service without prior notice where:
- maintenance or updates are performed;
- provision becomes difficult due to force majeure such as earthquake, fire, power outage or telecommunications failure;
- provision becomes difficult due to a failure or specification change of an external service (such as Google);
- the Company otherwise determines suspension or interruption to be necessary.
- Except in cases of the Company's intent or gross negligence, the Company is not liable for damage incurred by a Host or Guest due to such suspension or interruption.
Article 8 (Intellectual Property)
All intellectual property rights relating to the Service belong to the Company or its licensors. Permission to use the Service under these Terms does not transfer or license any of those rights.
Article 9 (Personal Information)
The Company handles personal information obtained through the Service appropriately, in accordance with the Company's Privacy Policy.
Article 10 (Suspension of Registration)
- The Company may, without prior notice, temporarily suspend a Host's use of the Service or cancel their registration where the Host:
- breaches any provision of these Terms;
- is found to have registered false information;
- is otherwise determined by the Company to be unsuitable to use the Service.
- Except in cases of the Company's intent or gross negligence, the Company is not liable for damage incurred by the Host due to measures taken under this Article.
Article 11 (Withdrawal and Deletion of Data)
- A Host may withdraw from the Service at any time by the method the Company specifies.
- A Host or Guest may request deletion of Booking Information concerning them by contacting the address in Article 15. The Company will delete it within a reasonable period, except where retention is required by law.
Article 12 (Disclaimer of Warranties; Limitation of Liability)
- The Company makes no warranty, express or implied, that the Service fits any particular purpose of a Host or Guest, that it has the functions, accuracy or usefulness expected, or that it will be free of interruption or defect.
- Except in cases of the Company's intent or gross negligence, the Company is not liable for damage incurred by a Host or Guest arising out of the Service. Where the Company is liable, its liability is limited to direct and ordinary damage actually incurred.
- The preceding two paragraphs do not exclude the application of the Consumer Contract Act or other mandatory provisions of law.
Article 13 (Changes to or Termination of the Service)
The Company may change the content of the Service or terminate its provision, endeavoring to give Hosts advance notice. Where provision is terminated, the Company will announce it a reasonable period in advance.
Article 14 (Amendment of these Terms)
The Company may amend these Terms pursuant to Article 548-4 of the Civil Code of Japan. When amending, the Company will fix an effective date and, sufficiently in advance of it, announce the amended content and the effective date by displaying them within the Service or by other appropriate means.
Article 15 (Contact and Notices)
Inquiries and other communications from Hosts or Guests to the Company, and communications or notices from the Company to Hosts or Guests, shall be made by email (taishi@prtl.jp) or by another method the Company specifies.
Article 16 (No Assignment)
A Host may not assign to a third party, or offer as security, their status under these Terms or any right or obligation under these Terms without the Company's prior written consent.
Article 17 (Severability)
If any provision of these Terms or part thereof is held invalid or unenforceable, the remainder of these Terms continues in full force and effect.
Article 18 (Governing Law and Jurisdiction)
- These Terms are governed by and construed in accordance with the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute arising out of or in connection with the Service.
Article 19 (Language)
The Japanese text is the official text of these Terms. Even where an English translation is prepared for reference, the Japanese version prevails in the event of any discrepancy.
